1) Who we are and what this agreement covers

These Terms of Service ("Terms") govern your access to and use of the web-based service operated by Infection Control IQ, a federal Canadian company with offices at 34 Steepelview Cres, Richmond Hill, Ontario, L4C9R3 ("Infection Control IQ," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you are accessing the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2) What the Service does (scope)

The Infection Control IQ Service indexes and searches public, authoritative infection prevention and control (IPAC) guidance and provides:

  • Short, citation-backed answers to IPAC questions
  • Tools for creating checklists and policies
  • Other features we may introduce from time to time

Important limitations:

  • The Service does not provide medical or legal advice.
  • The Service is not intended to be used as a medical device.
  • The Service does not require or accept personal health information (PHI) or other sensitive data.

3) Accounts; authorized users

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

  • Provide accurate and complete information when creating an account
  • Notify us immediately of any unauthorized use of your account
  • Ensure that all users accessing the Service through your account comply with these Terms

4) Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in any way that could damage, disable, or impair the Service
  • Input or upload personal health information (PHI), sensitive personal data, or any confidential information
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use automated systems (e.g., "bots") to access the Service or scrape content without our prior written consent
  • Misrepresent the Service's outputs as your own work or as authoritative advice
  • Upload or transmit any viruses, malicious code, or harmful content

5) Content and intellectual property

Our IP: The Service and all intellectual property (software, databases, branding, etc.) are owned by Infection Control IQ or our licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes in accordance with these Terms.

Third-party sources: The Service indexes and references third-party IPAC guidance sources. Those sources remain the property of their respective owners.

Your feedback: If you provide feedback or suggestions about the Service, you grant us a royalty-free, perpetual, irrevocable license to use that feedback for any purpose.

6) Beta features

We may offer certain features as "beta" or experimental. Beta features are provided "as-is" and may be changed or discontinued at any time.

7) Service changes; availability

We may modify, suspend, or discontinue the Service or any features at any time without prior notice. We aim for high availability but do not guarantee uninterrupted or error-free operation of the Service.

8) Subscriptions, trials, and payments (if applicable)

If you purchase a paid subscription:

  • Subscription plans, limits, fees, and billing cycles are described at the point of checkout
  • Fees are non-refundable except as required by law or as explicitly stated in your plan
  • Free trials are available for a limited time as specified during signup

9) Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other in connection with use of the Service. Each party agrees to: (1) hold the other's Confidential Information in confidence; (2) not disclose it to third parties except as permitted under these Terms; and (3) use it solely to fulfill obligations under these Terms.

10) Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our privacy practices.

11) Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

You are solely responsible for your reliance on any outputs from the Service, including any decisions made based on such outputs.

12) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFECTION CONTROL IQ SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

Our total aggregate liability to you for all claims arising out of or related to these Terms or the Service shall not exceed the amounts you paid to us in the 12 months prior to the event giving rise to the liability, or CAD $100, whichever is greater.

13) Indemnity

You agree to defend, indemnify, and hold harmless Infection Control IQ from and against any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to: (1) your use or misuse of the Service; (2) your violation of these Terms; (3) your infringement of any intellectual property or other rights of any third party; or (4) your submission of PHI or other prohibited data.

14) Third-party services

If the Service includes or integrates with third-party services, your use of those services is subject to their own terms, and Infection Control IQ is not responsible for any third-party services.

15) Term; termination

These Terms remain in effect while you use the Service. Either party may terminate for material breach not cured within 30 days of notice.

Upon termination, your right to use the Service will immediately cease. Sections 5 (Intellectual Property), 9 (Confidentiality), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnity), 16 (Governing Law), and 19 (General) shall survive termination.

16) Governing law; venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Toronto, Ontario.

17) Export; sanctions

You agree to comply with all applicable export control and economic sanctions laws. You will not use the Service in any country or region subject to comprehensive sanctions.

18) Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

19) General

These Terms constitute the entire agreement between you and Infection Control IQ regarding the Service. If any provision is found to be unenforceable, the remaining provisions will remain in full effect.

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

No waiver of any term of these Terms shall be deemed a further or continuing waiver.
